Purpose and scope
These general terms and conditions of sale (the “Terms”) govern all sales of products and services concluded between Motor Boat 74, SIRET 920 936 713 00014, with registered office at 179 Allée des Edelweiss, 74210 Saint-Ferréol, France (the “Seller”), and any buyer acting for business purposes (the “Customer”). They apply to orders placed in store, by phone, by email or remotely. Placing an order implies unreserved acceptance of these Terms, which prevail over the Customer's purchasing conditions.
Business Customer status
The Customer declares that they are at least 18 years old, have full legal capacity and are acting in the course of their main or secondary business activity. These Terms do not apply to sales concluded with consumers.
Prices and payment terms
Prices are stated in euros, excluding VAT and including VAT. Unless otherwise agreed, payment is due 30 days from the invoice date, by bank card, bank transfer or direct debit. In accordance with Articles L.441-10 et seq. of the French Commercial Code, any late payment automatically incurs penalties calculated on the basis of the most recent ECB refinancing rate plus 10 percentage points, as well as a fixed collection fee of €40.
Retention of title and transfer of risk
The Seller retains ownership of the products sold until full payment of the price. Risk, however, passes to the Customer upon delivery or collection of the products.
Delivery and collection
Delivery is available in mainland France and the French overseas territories. In-store collection is free of charge and available for 30 days from confirmation that the order is ready. Delivery times are given for information only; a delay shall not give rise to any penalty, compensation or cancellation of the order.
Warranty against hidden defects
The warranty applies only to products lawfully held and not past their expiry date, and excludes abnormal conditions of use. Remedies are limited, at the Seller's discretion, to replacement, repair or the issue of a credit note, to the exclusion of any refund or termination of the contract.
Limitation of liability
The Seller shall not be held liable for indirect damages, loss of profit or commercial losses. In any event, its liability is capped at the amount actually paid for the product or service concerned.
Force majeure
The parties' obligations are suspended upon the occurrence of a force majeure event beyond their reasonable control (strike, natural disaster, epidemic, etc.). If the impediment lasts more than 30 days, the contract is automatically terminated.
Governing law and disputes
These Terms are governed by French law. Before taking any legal action, the parties undertake to seek an amicable settlement for 30 days. Failing agreement, any dispute falls under the exclusive jurisdiction of the Commercial Court of Annecy (Tribunal de commerce d'Annecy).
